At its annual session (19-21 April 2004) the Governing Council of UNIDROIT adopted unanimously the new edition of the UNIDROIT Principles of International Commercial Contracts. As compared to the 1994 edition, UNIDROIT Principles 2004 contains 5 new chapters (Authority of Agents; Third Party Rights; Set-off; Assignment of Rights, Transfer of Obligations and Assignment of Contracts; Limitation Periods) as well as an expanded Preamble and new provisions on Inconsistent Behaviour and on Release by Agreement. Moreover wherever appropriate the 1994 edition of the Principles was adapted to meet the needs of electronic contracting.

The integral version (black letter rules and comments) of the new edition of the UNIDROIT Principles is available in both English and French.
