Final session of the diplomatic Conference to adopt a
Convention on Substantive Rules regarding Intermediated Securities
(Geneva, 5 - 9 October 2009)


The final session of the diplomatic Conference to adopt a Convention on Substantive Rules regarding Intermediated Securities will take place, under the auspices of the International Institute for the Unification of Private Law (UNIDROIT), at the invitation of the Government of Switzerland, in Geneva from 5 to 9 October 2009, with a view to finalising the work and adopting the Convention. The Conference will start on Monday 5 October 2009 at 9.30 a.m. in Room 1 "Auditorium" at level 1 of the CICG (see Practical information below).

Delegations are reminded that in accordance with rule 2 of the Provisional Rules of Procedure, the credentials of the representatives of States are to be submitted to the Secretary General of the Conference (Mr José Angelo Estrella Faria), if possible, not later than 24 hours after the opening of the Conference and they need to be issued either by the Head of State or Government or by the Minister of Foreign Affairs. Delegations wishing to sign the instrument to be adopted by the diplomatic Conference will need to present Full Powers signed by the Head of State or Government or by the Minister of Foreign Affairs. Credentials and Full Powers may be combined in one instrument but credentials alone will not suffice for the purpose of signing the instruments to be adopted by the diplomatic Conference. In line with international practice, only the originals of credentials and Full Powers will be accepted. Credentials issued for the first session of the Diplomatic Conference (Geneva, 1-13 September 2008) will not be recognised at the final session, even if there are no changes in the composition of the delegation.

Resolution N°1 of the Final Act of the first session of the diplomatic Conference invites delegations and observers to submit any request to amend the text of the draft Convention no later than six weeks prior to the opening of the final session, indicating significant problems capable of preventing the Convention from working properly; it also requests a specific Committee, in close co-operation with the UNIDROIT Secretariat, to examine those requests and to provide the Conference with recommendations. The Conference is expected to examine only those requests for amendment recommended for its consideration by the specific Committee.

Resolution N°2 of the Final Act of the first session of the diplomatic Conference requests the preparation of a draft Official Commentary on the text of the draft Convention by the Chairperson of the Drafting Committee, in close co-operation with no more than three members of the Drafting Committee, the Chairperson of the Commission of the Whole, the Chairperson of the Final Clauses Committee, the Chairperson of the Credentials Committee, the Co-Chairpersons of the Committee on Emerging Market Issues, Follow-up Work and Implementation, the Chairperson of the Working Group on Insolvency and the Co-Chairpersons of the Working Group on Settlement and Clearing Systems, as well as with the UNIDROIT Secretariat; the Resolution also requests the UNIDROIT Secretariat to circulate such draft Commentary inviting comments thereon.

Delegations and observers are therefore invited to submit requests to amend the text of the draft Convention as well as comments on the draft Official Commentary no later than 24th August 2009 to the UNIDROIT Secretariat (fax: +39 06 69 94 13 94; email: info@unidroit.org or i.dubois@unidroit.org). UNIDROIT will then transmit the requests to amend the text of the draft Convention to the aforementioned specific Committee.

Practical information

Need to book hotel accommodation early - As another important event with an estimated participation of 40,000 persons is taking place in Geneva on the same dates, delegates are strongly advised to book their hotel accommodation as soon as possible. It is not possible to offer preferential rates with hotels.
