Collaborative Legal Structures for Agricultural Enterprises – Ninth Working Group Session

From 8 to 10 April 2026, the ninth session of the Working Group on Collaborative Legal Structures for Agricultural Enterprises (CLSAE Project) was held at the seat of UNIDROIT in Rome. The session was attended by 26 participants, both in person and online.

Chaired by UNIDROIT Governing Council Member Professor Maria Ignacia Vial Undurraga (Chile) and coordinated by Professor Fabrizio Cafaggi (Italy), the CLSAE Project is a high-priority project jointly undertaken with the Food and Agriculture Organization of the United Nations (FAO) and the International Fund for Agricultural Development (IFAD).

The purpose of the future CLSAE Legal Guide is to provide guidance on collaborative legal structures to support the development of more sustainable and inclusive agri-food value chains through increased participation of smallholders, producers, and agricultural Micro, Small and Medium-sized Enterprises. In turn, this may contribute to the transformation to more efficient and resilient agri-food systems, promote sustainable economic growth, reduce poverty, and improve governance.

While recognising that a variety of forms for collaboration exist, and many different types of business organisations and commercial contracts may be used for carrying out activities such as production, processing and distribution in the agricultural sector, the emphasis of the Guide is on collaboration of agri-entrepreneurs through the use of legal structures and digital platforms. Three categories of legal structures are considered: (i) multiparty contracts; (ii) cooperatives; and (iii) companies. Digital platforms are covered not as a legal structure but rather as a tool that may be used by different legal structures for collaboration purposes or governed through companies, cooperatives and contractual structures.

During the ninth session, the Working Group considered various issues raised in the Draft Master Copy of the future instrument, in particular regarding the four chapters covering the collaborative legal forms and the chapter dedicated to the comparative analysis.

The public consultation stage of the project is tentatively scheduled to take place between June – September 2026.
