UNIDROIT presents the BPEBR Guide at the EBRA Company Law Working Group

On 29 September 2026, UNIDROIT participated in the meeting of the Company Law and Open Data Working Group of the European Business Registry Association (EBRA), held in Brussels as part of EBRA Week, a series of expert working group meetings. The week brought together more than 60 participants from across Europe each day, in person at the Belgian Federal Public Service Economy (FPS Economy) and online, on topics that included company law and open data, beneficial ownership, and cybersecurity.

Within the programme, UNIDROIT delivered a session dedicated to the Guide on Best Practices for Electronic Business Registries (the BPEBR Guide), published in May 2026. The session was designed as a practical self-assessment exercise and was moderated by Kateryna Bovsunovska, Legal Consultant at UNIDROIT.

Using the BPEBR Guide as a reference framework informed by international best practices, participants assessed their current design and operations against the proposed European Union Regulation on a 28th-regime corporate legal framework (‘EU Inc.’), which served as the working scenario. While the BPEBR Guide is a soft-law instrument offering practical recommendations together with legal and technical references, the EU Inc. Regulation, once adopted, will become binding. The exercise accordingly served a dual purpose: it allowed registries to apply the Guide to gauge their preparedness for the requirements that the Regulation may introduce, and it provided a structured method, organised around the Guide’s Critical Performance Factors (CPFs), for analysing those requirements.

The participants worked in five breakout groups, each dedicated to one or more of the Guide’s CPFs: (i) Interoperability; (ii) Legal Authority of the Registrar, Data Input Validation and Timeliness; (iii) Transparency, Confidentiality and Privacy, and Accessibility; (iv) Accuracy, Retention and Disposition, and Evidentiary Value; and (v) Authentication. During the session, the participants identified the principal gaps and proposed concrete improvements to both their business registry design and operation and to the text of the Regulation proposal.

The BPEBR Guide is a publication of the BPER Project, carried out under the Cape Town Convention Academic Project (CTCAP), a joint initiative of UNIDROIT and the University of Cambridge. The BPER Project is sponsored by Aviareto and is supported by the UNIDROIT Foundation. The session confirmed the Guide’s value as a shared, practical framework through which business registries can assess and advance their own design and operation.
