Collaborative Legal Structures for Agricultural Enterprises – Eighth Working Group Session

From 19 to 21 November 2025, the eighth session of the Working Group on Collaborative Legal Structures for Agricultural Enterprises (CLSAE Project) was held at the seat of UNIDROIT in Rome. The session was attended by 29 participants, both in person and online.

Chaired by UNIDROIT Governing Council Member Professor Maria Ignacia Vial Undurraga (Chile) and coordinated by Professor Fabrizio Cafaggi (Italy), the CLSAE Project is a high-priority project jointly undertaken with the Food and Agriculture Organization of the United Nations (FAO) and the International Fund for Agricultural Development (IFAD).

The purpose of the CLSAE Project is to develop guidance on “collaborative legal structures for agricultural enterprises” to enhance sustainable agricultural development in value chains and contribute to the transformation of agri-food systems by: (i) improving access to viable markets, market resources and inclusive financial services; (ii) exploring innovation opportunities and risks offered by digitalisation, digitisation and digital platforms; (iii) addressing power imbalances and increasing participation in decision-making; and (iv) proposing remedies for unfair commercial practices. While recognising that a variety of forms of collaboration and many different types of business organisations and commercial contracts may be used for carrying out activities such as production, processing and distribution in the agricultural sector, the legal guidance underdevelopment mainly covers three collaborative legal structures: (i) cooperatives, (ii) companies and (iii) multiparty contracts. In addition, the CLSAE Project also analyses digital platforms as a form of collaboration.

During the eighth session, the Working Group considered various issues raised in the Draft Master Copy of the future instrument regarding the draft preface and introduction, as well as the five chapters covering the legal structures and the comparative analysis.

The next in-person meeting is tentatively scheduled to take place on 18-20 February 2026.
